This Agreement is between DEXUN INC (Seattle, Washington) and the adult individual or duly authorized organization accepting it. It governs submission, distribution and monetization of Titles on DexunShort. Use of DexunShort Create is governed separately; creating a work does not enroll it in distribution.
本协议由DEXUN INC与成年个人或授权机构签订，管理短剧投稿、发行及变现；使用Create工具另按工具条款，创作不等于授权发行。
“Title” includes submitted series, episodes, artwork, subtitles and metadata. “Gross Cash Receipts” means actually settled, non-reversed qualifying cash-funded payments attributable to Title purchases or unlocks, excluding amounts collected as taxes on behalf of authorities. “Net Revenue” means such receipts less only properly attributable, documented third-party processing/store fees, refunds, chargebacks and applicable transaction taxes not already excluded; no double deduction. DEXUN sets Platform retail prices, discounts and promotions prospectively, without retroactively changing accrued earnings. Promotional-credit unlocks and Creator self-purchases do not generate shareable Net Revenue. DexunShort's own subscription/VIP revenue and its own advertising revenue (including advertising unlocks) are not shared at this time; if DEXUN decides to include them, it will publish the allocation method at least thirty (30) days before it applies, prospectively only and, where required, with Creator acceptance. Revenue from external platforms is governed by Section 8A. Free unlocks generate no imputed cash revenue.

DEXUN will maintain a transaction-level, source-tagged ledger distinguishing cash-purchased wallet value, promotional value, refunds, reversals and consumption across months. For eligible purchases, the wallet will consume available cash-purchased value first (oldest cash lot first), then promotional value (oldest promotional lot first). Only the portion actually funded by cash-purchased value may generate attributable Net Revenue, and only once. Payment or app-store fees must be recognized once, using a documented consistent method, and may not be deducted both at top-up and at purchase. Refunds and chargebacks reverse the original funding-source allocations. See Schedule 1 for examples and implementation conditions.

Creator retains rights it owns, subject to third-party rights and AI-output limitations. For accepted Titles only, Creator grants DEXUN a worldwide license to host, encode, reproduce, distribute, publicly perform/display, subtitle, dub, make technical format edits, create trailers, posters, thumbnails and reasonable promotional excerpts, and sublicense to necessary distribution and service partners for these purposes. Creator does not grant general AI-model training rights. Promotional uses shall not materially misrepresent the Title or Creator.

For each accepted Title, the worldwide exclusive license applies to commercial streaming distribution of full-length short-drama episodes and the complete Title, not ordinary trailers, behind-the-scenes materials or reasonable promotional excerpts shared by Creator. The initial exclusive term is twelve (12) months from first public release on DexunShort, automatically renewing in six (6)-month periods unless either party gives written nonrenewal notice at least thirty (30) days before the then-current term ends. DEXUN shall commercially release an accepted Title within sixty (60) calendar days after written acceptance and receipt of all technically compliant deliverables, unless otherwise agreed in writing. If DEXUN misses the deadline, Creator may give written notice and fifteen (15) days to cure; failing cure, Creator may withdraw that Title and end its exclusivity. During exclusivity, Creator may not withdraw the Title merely at will; uncured material breach, failure to release, legal compulsion and mutually agreed exceptions remain available.

Creator warrants authority for all underlying works, music, performances, likenesses and commercial distribution. Titles may include wholly fictional, AI-generated minor characters that do not intentionally imitate an identifiable real minor, subject to child-safety standards. Creator must not submit any actual photograph, footage, voice, likeness, personal information, or AI reconstruction derived from or identifying a real person under 18. Parental or guardian permission does not override this Platform submission prohibition. DEXUN may request provenance and rights documentation and reject noncompliant Titles.

Creator must disclose AI involvement where legally required and preserve provenance labels. DEXUN has final editorial and acceptance discretion and may review, classify, reject, demonetize or remove Titles for documented legal, rights, safety, quality or published policy reasons; it will give notice and a reasonable appeal path when practicable, except urgent safety/legal action. Proportionate responses to account violations include warnings, suspension, Title removal and termination depending on severity. Age-appropriate, nonsexual fictional AI minor characters are permitted; sexual exploitation or sexualized depictions of minors are prohibited.

DEXUN credits eighty percent (80%) of attributable Net Revenue to Creator and retains twenty percent (20%). DEXUN determines retail prices, discounts and promotions prospectively; only qualifying cash-funded receipts actually attributable to a Title enter the share base, and free/promotional unlocks do not create fictional revenue. Calculations occur monthly after month-end; in-month amounts are estimates. Ledger calculations retain sub-cent precision and the monthly aggregate payable is rounded half-up to cents. Any change to the share percentage applies prospectively only.

DEXUN may distribute an accepted Title, or excerpts of it, on third-party platforms such as YouTube and TikTok under the license in Section 4. Such platforms pay DEXUN a periodic (usually monthly) channel- or account-level amount, while their per-video figures are estimates that may later be adjusted. DEXUN will therefore allocate each payment it actually receives, less that platform's fees and any taxes or withholdings deducted at source, among the videos covered by that payment in proportion to each video's estimated earnings in the platform's reports for the same period, and attribute each video's allocation to the Title it contains ("External Net Revenue"). External Net Revenue is shared with the Creator at eighty percent (80%). A video that contains material from more than one Title is allocated by running time, unless DEXUN publishes another method in advance. It is credited for the month in which DEXUN receives the funds and shown as a separate line on the monthly statement. Revenue that cannot be attributed to a specific Title (for example, channel-level bonuses) is not shared. DEXUN decides whether, where and how to distribute on external platforms and does not guarantee any external distribution or revenue.

A monthly statement will show eligible receipts, exclusions, deductions, adjustments and payable earnings. Creator may dispute a statement within 90 days after delivery, without waiving non-waivable legal rights. DEXUN will investigate in good faith and provide a written outcome. Material errors are corrected in either direction; 12-month administrative correction period is subject to fraud, law and pending disputes. Payment and store fees are recognized once per transaction, never at both top-up and purchase; on request, DEXUN will provide the per-transaction fee calculation and the source of the fee rate applied.
月度账单列明合格收入、排除项目、费用、调整及应付金额；创作者可在建议90天内提出争议，平台合理调查并书面反馈；更正期限须保留法定例外。手续费每笔只确认一次，不得在充值和消费两端重复扣除；创作者可要求平台提供逐笔扣费的计算依据及所用费率来源。
Earnings are separate from consumer wallets and promotional balances. Creator may request payout once the available undisputed balance reaches US$50, subject to identity/tax verification and lawful withholding. Payouts are made only by bank transfer through DEXUN's payout provider (currently Stripe Connect): to a U.S. bank account for U.S. creators, and, for creators outside the United States, by cross-border payout to a bank account in the creator's country where the provider supports it. Other payout methods are not offered. The provider may collect identity and tax documentation (Forms W-9/W-8) directly from the Creator; DEXUN does not store full taxpayer identification numbers. Following termination, DEXUN will complete the final accounting and pay undisputed earned balances, including balances below US$50, within sixty (60) calendar days after termination, subject to applicable legal restrictions, tax documentation, reasonable unresolved reversals, and unclaimed-property requirements. DEXUN will notify Creator of any legally necessary delay and its basis.

Creator must supply applicable W-9, W-8BEN, W-8BEN-E or other documentation. DEXUN may apply legally required withholding and reporting based on payment classification, source, payee status and current law. Tax characterization and forms must be confirmed by U.S. tax counsel/CPA; this Agreement does not guarantee a specific form or treaty rate. Sanctions and identity screening may delay payment as legally necessary. Where a payout provider collects tax documentation, DEXUN relies on the provider's verification status.

DEXUN may reverse earnings attributable to documented refunds, chargebacks, invalid purchases or fraud, without double recovery. It will provide a reasonably itemized notice and opportunity to challenge adjustments where lawful. Reversals are offset first against the Creator's unwithdrawn earnings balance and then against future earnings. DEXUN will not debit any external account of the Creator; amounts already paid out that cannot be offset may be invoiced only where permitted by law, after itemized notice.

Creator must substantiate rights on request. DEXUN maintains a DMCA notice-and-counter-notice process, repeat-infringer policy, and registered designated agent if applicable. Contact: [email protected]. Earnings for a specifically disputed Title may be held proportionately while investigated.

Studios, agencies and aggregators submitting third-party works must execute a separate Partner Addendum identifying ownership, creator permissions, payment responsibility, tax documentation and reporting. Neither party may assign materially without consent, except DEXUN may assign in a bona fide reorganization or sale with obligations assumed.
机构投稿须另签补充协议，明确创作者权利、付款、税务和对账。转让规则须兼顾公司重组及权利义务承接。
Either party may terminate on 30 days’ written notice; immediate suspension is permitted for material safety, fraud, sanctions or rights risks. Existing accepted Titles remain licensed through the current Distribution Term unless law or an uncured material breach requires earlier removal. After expiry, new monetization ceases, subject to limited archival, transaction-support and already-authorized marketing wind-down rights. Final accounts follow Section 10.

Creator indemnifies DEXUN for third-party claims caused by Creator’s breach of rights warranties or unlawful content, subject to prompt notice, defense control and reasonable cooperation. DEXUN is responsible for its own misconduct and processing obligations. Liability caps and exclusions must be commercially reasonable and legally enforceable, with carve-outs for liabilities that cannot be limited.

Washington law and courts in King County apply subject to mandatory protections and enforceability review for overseas creators. Material changes require at least thirty (30) days’ advance notice by email or in-product notice; changes to accrued earnings are prospective only. Where required, affirmative re-acceptance will be obtained. English controls in case of translation conflict.

Confirmed calculation: source-tagged FIFO (cash-funded value before promotional value), across months; monthly aggregate half-up rounding. Open operational verification: fee-recognition timing, payment settlement, chargeback reversals, cash-value refund rules, tax accounting, ad/VIP revenue treatment, effective date and production ledger reconciliation. No new method may be deployed retroactively to reduce already accrued amounts without legal review.

Example A: A user purchases US$10 of wallet value and receives US$5 promotional value. A US$12 qualifying unlock consumes US$10 cash-funded value and US$2 promotional value; only US$10 is eligible for Net Revenue before properly attributable deductions. Example B: US$10 cash-funded value bought in September and spent in October remains cash-funded and eligible in October, subject to settlement and deductions. Example C: A US$3 refund of an original cash-funded unlock reverses the corresponding attributable amount and related creator share; it does not create a second fee deduction. These are illustrative only; applicable taxes, payment fees and actual checkout pricing must be verified.
